Terms of Use

1. DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY because it limits the manner in which you and MovieInvest can seek relief from each other and requires all disputes to be brought solely on an individual basis and not as a class action or any other kind of representative proceeding.

(a) Governing Law and Venue

These Terms and any Disputes between you and us will be governed by New York law, without regard to its principles of conflicts of law that might require the application of the laws of another jurisdiction. You and MovieInvest agree to the exclusive jurisdiction of the federal and state courts located in New York County, New York.

(b) Disputes Defined

"Disputes" are any disputes, claims, actions, and other controversies between you and MovieInvest or between you and the affiliates or agents of MovieInvest that, in either case, arise out of or relate to these Terms, the Sites, or any other products or services related thereto.

(c) Informal Dispute Resolution

If you have a Dispute with MovieInvest, you must first attempt to resolve the Dispute through informal negotiation for a period of 60 days. You will send any Claimant Notice to MovieInvest at the following address:

(e) Class Action Waiver

NO DISPUTE SHALL BE JOINED TO ANY OTHER DISPUTE. NO CLASS ACTION PROCEEDINGS OR ANY PROCEEDINGS IN WHICH EITHER YOU OR MOVIEINVEST ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY SHALL BE PERMITTED.

(f) One Year to Assert Claims

In no event shall you or MovieInvest send a Claimant Notice or commence litigation over any Dispute more than one (1) year after the Dispute first arose. After such time, the Dispute is permanently barred.

2. OWNERSHIP AND USE OF SITES AND CONTENT

The Sites may include information, content, or other materials, including without limitation, audio and video programming (and clips thereof), logos, icons, games, software, applications, data, text, graphics, images, and/or links (collectively, the "Content").

You acknowledge that the Content and the Sites are protected by copyrights, trademarks, patents and other proprietary rights owned by MovieInvest and/or its licensors. MovieInvest hereby grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Sites on Permitted Devices.

• You may not modify, copy, adapt, transform, reverse engineer, or distribute any Content.
• You may not use robots, spiders, scrapers, or other automated means to access the Sites.
• You must retain all copyright and other proprietary notices on downloaded Content.

3. INTERACTIVE FEATURES AND USER SUBMISSIONS

The Sites may provide you and other users with features that allow you to submit, post, comment, display, transmit and/or exchange information, ideas, opinions, photographs, images, video, creative works or other information ("Submissions").

By sending, posting or transmitting Submissions, you grant MovieInvest a worldwide, non-exclusive, sublicensable, assignable, royalty-free, perpetual, irrevocable right and license to use, reproduce, exhibit, distribute, create derivative works of, and publicly perform such Submissions.

• You are strictly prohibited from posting unlawful, threatening, harassing, libelous, defamatory, obscene, or otherwise offensive material.
• MovieInvest has the right, but not the obligation, to monitor and edit or remove any activity or content.

4. PURCHASING CONTENT OR SUBSCRIPTIONS

You may choose to purchase merchandise, content, subscriptions, or other products or services from Merchants posted on, linked to, or otherwise accessible through the Sites. Any terms, conditions, warranties, or representations from Merchants regarding purchases are solely between you and the Merchant.

5. SUBSCRIPTIONS

By signing up for a subscription, you agree that your subscription will be automatically renewed for the applicable duration (typically, monthly or annually) unless you cancel your subscription before the renewal date. You can cancel your subscription at any time through your account settings.

• You must be 18 years or older to purchase a subscription.
• Subscription pricing is subject to change at any time with advance notice.
• If you cancel, you will continue to have access until the end of the current billing period.

6. SUBMISSION OF UNSOLICITED IDEAS

MovieInvest does not accept or consider unsolicited ideas, including ideas for new programming, promotions, products, services, technologies or processes. You must not communicate any User Ideas to MovieInvest that you consider to be confidential or proprietary.

7. MODIFICATIONS TO THE SITES AND THE TERMS

MovieInvest reserves the right, in its sole discretion, to change, terminate, supplement, modify, add to, or discontinue any Site or any content, feature, or aspect of the Sites at any time. We will provide notice of changes by posting the revised Terms on the Sites.

8. THIRD-PARTY SITES AND PLATFORMS

The Sites may enable you to access third-party sites or may be accessible through third-party services. MovieInvest is not responsible for the contents of any third-party site or service.

9. CLAIMS OF COPYRIGHT INFRINGEMENT

If you believe in good faith that materials hosted by MovieInvest infringe your copyright, you may send us a notice requesting that the material be removed. Notices should be sent to:

10. DIGITAL CHARGES

The Sites may include download charges or royalties, in-app/game purchases and in-app/game subscriptions. Digital goods provided in return for Digital Charges include only a limited license and right to be used as allowed by MovieInvest.

11. ACCESS BY CHILDREN

YOU MUST BE AT LEAST 16 YEARS OF AGE TO USE THE SITES. If you are 16 or older but under 18, please ask your parent or legal guardian to review and agree to these Terms of Service before you use any part of the Sites.

12. PRIVACY/SECURITY

We encourage you to read our Privacy Policy for information on how we collect, use, share, and otherwise process information about you. You are responsible for maintaining the confidentiality of your username and password.

13. TERMINATION

MovieInvest may suspend, terminate, modify or delete your account with or without notice to you, at any time for any reason or for no reason. You may terminate your account by contacting us at feedback@movieinvest.com.

14. DISCLAIMERS

THE SITES, THE CONTENT AND SUBMISSIONS, AND ANY AND ALL PRODUCTS OR SERVICES OBTAINED THROUGH THE SITES ARE PROVIDED BY MOVIEINVEST "AS IS" AND "AS AVAILABLE" AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

• MovieInvest disclaims all warranties, including implied warranties of title, non-infringement, accuracy, merchantability and fitness for a particular purpose.
• MovieInvest does not warrant that your use of the Sites will be uninterrupted, error-free or secure.
• Your use of the Sites is entirely at your own risk.

15. LIMITATION OF LIABILITY

NEITHER MOVIEINVEST NOR ANY OF OUR AFFILIATES, SUBSIDIARIES, LICENSORS, SUPPLIERS, MERCHANTS, ADVERTISERS OR SPONSORS ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITES IS TO STOP USING THE SITES. THE TOTAL MAXIMUM LIABILITY OF MOVIEINVEST TO YOU FOR ALL DISPUTES, DAMAGES, LOSSES AND CAUSES OF ACTION IS LIMITED TO THE TOTAL AMOUNT PAID BY YOU TO MOVIEINVEST.

16. INDEMNIFICATION

You agree to indemnify, defend and hold harmless MovieInvest and its affiliates from and against any and all claims, damages, losses, costs and other expenses that arise directly or indirectly out of your breach of the Terms or your access to and/or use of the Sites.

18. MISCELLANEOUS

If any provision of the Terms is found to be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable. This is the entire agreement between you and MovieInvest relating to the subject matter herein. The Terms are not assignable by you except with MovieInvest's prior written consent.
